  1. Credit Account Approval

1.1. All credit accounts are subject to approval by A&A Distribution B.V. (“the Company”) based on credit checks, trade references, financial history, and any other information the Company deems necessary.

1.2. By applying for a credit account, the customer authorises the Company to conduct credit checks through both EU and UK credit reference agencies, as well as obtain trade references or third-party information for assessing and monitoring creditworthiness.

1.3. The Company reserves the right to refuse, reduce, suspend, or withdraw credit facilities at any time without prior notice.

1.4. Credit facilities are granted solely at the discretion of the Company and remain subject to continuous review.

1.5. All personal or business data processed during credit assessment and monitoring will be handled in accordance with the EU General Data Protection Regulation (GDPR) and the Dutch GDPR Implementation Act (UAVG).

1.6. The Company may share relevant customer account information with A&A Distribution Ltd (UK entity) for credit assessment, order processing, and account management.

 

  1. Payment Terms

2.1. Unless otherwise agreed in writing, payment is due according to the terms stated on the invoice (e.g., NET 14, NET 30).

2.2. Payments must be made in full, without deduction, set-off, or counterclaim.

2.3. The Company may place accounts on hold, suspend deliveries, or amend credit terms if invoices remain unpaid beyond their due date.

  1. Late Payment

3.1. If payment is not received by the due date, the company reserves the right to:

(a) charge interest at the rate permitted under applicable law, but not less than 8% per annum, calculated daily on the overdue amount;

(b) recover all reasonable costs incurred in recovering overdue sums, including legal fees, debt collection costs, and collection agency charges; and

(c) refer overdue accounts to debt collection agencies and add all related recovery costs to the outstanding balance.

3.2. Continued or repeated late payment may result in the withdrawal of credit facilities, suspension of deliveries, reduction of credit limits, or conversion to a prepayment-only basis.

 

  1. Credit Limits

4.1. Each customer will be assigned a credit limit, reviewed periodically.

4.2. Orders exceeding the credit limit may be declined or held pending payment.

4.3. Credit limits may be increased, reduced, or withdrawn at any time.

 

  1. Ownership of Goods (Retention of Title)

 

5.1 All goods supplied by A&A Distribution B.V. remain the property of A&A Distribution B.V. until full payment has been received for:

(a) the goods supplied; and

(b) all other sums due or owing from the customer to A&A Distribution B.V. arising from the business relationship.

5.2 Until ownership transfers, the customer shall:

(a) store the goods separately from other goods;

(b) clearly identify the goods as the property of A&A Distribution B.V.;

(c) maintain the goods in satisfactory condition;

(d) keep adequate insurance covering the goods.

5.3 The customer shall not pledge, charge or otherwise encumber goods subject to retention of title.

5.4 If payment becomes overdue, or if A&A Distribution B.V. reasonably believes the customer may be unable to fulfil its obligations, A&A Distribution B.V. may recover possession of the goods and enter any premises where the goods are reasonably believed to be located, subject to applicable law.

5.5 Where the customer is established in Germany, Schedule 1 (German Retention of Title Annex – Erweiterter und Verlängerter Eigentumsvorbehalt) forms an integral part of these Terms. In the event of any inconsistency, Schedule 1 shall prevail in relation to retention of title rights.

 

  1. Bank & Financial Requirements

6.1. The Company’s banking partners require strict adherence to payment terms.

6.2. Non-compliance may result in revised credit terms or conversion to advance payment.

6.3. This ensures stable supply chain and pricing for all customers.

 

  1. Account Reviews & Suspension

7.1. All credit accounts may be reviewed regularly.

7.2. Accounts with poor payment performance or breaches of these terms may be suspended or terminated without notice.

7.3 If the customer enters bankruptcy, insolvency proceedings, liquidation, administration, restructuring proceedings, or any similar process, all outstanding amounts shall become immediately due and payable.

 

  1. Disputes

8.1. Invoice disputes must be submitted in writing within 7 days of the invoice date.

8.2. Disputed amounts do not permit withholding payment of undisputed invoices.

 

  1. Governing Law

9.1. These Terms & Conditions are governed by the laws of The Netherlands.

9.2. Any disputes shall be resolved exclusively by the courts of The Netherlands.

9.3 Notwithstanding clause 9.1, retention of title rights relating to customers established in Germany shall be governed exclusively by German law as set out in Schedule 1.

 

Acceptance of Credit Terms

By placing orders on a credit account with A&A Distribution B.V., the customer accepts and agrees to comply with these Terms & Conditions.

 

 

 

Schedule 1

 

German Retention of Title Annex

(Erweiterter und Verlängerter Eigentumsvorbehalt)

 

The following provisions apply exclusively to customers established in Germany and form an integral part of these Credit Account Terms & Conditions.

Das Eigentum an den gelieferten Waren bleibt zur Sicherung aller Ansprüche vorbehalten, die uns aus der gegenwärtigen und künftigen Geschäftsverbindung bis zum Ausgleich aller Salden gegen den Abnehmer und seine Konzerngesellschaften zustehen.

Unser Eigentum erstreckt sich auf die durch Verarbeitung der Vorbehaltsware entstehende neue Sache. Der Abnehmer stellt die neue Sache unter Ausschluss des eigenen Eigentumserwerbs für uns her und verwahrt sie für uns. Hieraus erwachsen ihm keine Ansprüche gegen uns.

Bei einer Verarbeitung unserer Vorbehaltsware mit Waren anderer Lieferanten, deren Eigentumsrechte sich ebenfalls an der neuen Sache fortsetzen, erwerben wir zusammen mit diesen Lieferanten – unter Ausschluss eines Miteigentumserwerbs des Abnehmers – Miteigentum an der neuen Sache, wobei unser Miteigentumsanteil dem Verhältnis des Rechnungswertes unserer Vorbehaltsware zu dem Gesamtrechnungswert aller mitverarbeiteten Vorbehaltswaren entspricht.

Der Abnehmer tritt bereits jetzt seine Forderungen aus der Veräußerung von Vorbehaltsware aus unseren gegenwärtigen und künftigen Warenlieferungen mit sämtlichen Nebenrechten im Umfang unseres Eigentumsanteils zur Sicherung an uns ab.

Bei Verarbeitung im Rahmen eines Werksvertrages wird die Werklohnforderung in Höhe des anteiligen Betrages unserer Rechnung für die mitverarbeitete Vorbehaltsware schon jetzt an uns abgetreten.

Solange der Abnehmer seinen Verpflichtungen aus der Geschäftsverbindung an uns ordnungsgemäß nachkommt, darf er über die in unserem Eigentum stehende Ware im ordentlichen Geschäftsgang verfügen und die an uns abgetretenen Forderungen selbst einziehen.

Bei Zahlungsverzug oder begründeten Zweifeln an der Zahlungsfähigkeit oder Kreditwürdigkeit des Abnehmers sind wir berechtigt, die abgetretenen Forderungen einzuziehen und die Vorbehaltsware zurückzunehmen.

Scheck-/Wechselzahlungen gelten erst nach Einlösung der Wechsel durch den Abnehmer als Erfüllung.

Hinsichtlich der Vereinbarung von Eigentumsvorbehaltsrechten gilt ausschließlich deutsches Recht.
