1. Credit Account Approval
1.1. All credit accounts are subject to approval by A&A Distribution Ltd (“the Company”) based on credit checks, trade references, and any other information deemed necessary.
1.2. By applying for a credit account, the customer authorises the Company to carry out credit searches and obtain references from credit reference agencies, trade partners, or other relevant third parties, both at the time of application and at any point thereafter for the purpose of reviewing creditworthiness.
1.3. The Company reserves the right to refuse, reduce, suspend, or withdraw credit facilities at any time without prior notice.
1.4. Credit facilities are extended at the sole discretion of the Company and are subject to ongoing review.
1.5. Any information obtained or processed during the credit approval and review process will be handled in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. The Company will only use such data for legitimate business purposes, including account management, credit risk assessment, and fraud prevention.
1.6. The Company may also share relevant account and business information with A&A Distribution B.V., a related entity, for the purposes of credit assessment, order processing, and account management. Both entities operate under aligned data protection standards in accordance with the UK GDPR and applicable EU data protection laws.
2. Payment Terms
2.1. Unless otherwise agreed in writing, payment for all invoices must be made within the payment term specified on the invoice (e.g., NET 14, NET 30, or as otherwise stated).
2.2. Payments must be made in full, without deduction, set-off, or counterclaim, by the due date shown on the invoice.
2.3. The Company reserves the right to place accounts on hold or suspend deliveries if any invoices remain unpaid beyond the due date.
3. Late Payment
3.1. If payment is not received by the due date, the Company reserves the right to:
- Charge interest on overdue amounts at a rate of 8% per annum above the Bank of England base rate, calculated daily until payment is received in full.
- Recover any reasonable costs incurred in recovering the debt, including legal fees and collection agency costs.
- Refer the account to external debt collection agencies if payment is not received within a reasonable timeframe, and add all associated costs and charges to the customer’s outstanding balance.
3.2. Continued failure to pay on time may result in the withdrawal of credit facilities and the requirement for payment on a pro forma basis.
4. Credit Limits
4.1. Each customer will be allocated a credit limit, which will be reviewed periodically.
4.2. Orders that would exceed the agreed credit limit may be declined or held until payment is received to bring the account within the agreed limit.
4.3. Credit limits may be adjusted or withdrawn at any time based on payment performance, trading history, or at the request of our financial partners.
5. Ownership of Goods (Retention of Title)
5.1. All goods supplied remain the property of A&A Distribution Ltd until full payment has been received for all outstanding invoices.
5.2. Until ownership passes, the customer must:
- Store the goods separately from other stock and clearly identify them as the property of A&A Distribution Ltd.
- Not sell, pledge, or otherwise dispose of the goods other than in the ordinary course of business.
5.3. If payment is overdue, the Company reserves the right to enter the customer’s premises and recover any goods that remain unpaid for.
5.4. If the customer becomes insolvent, enters into liquidation, administration, or any arrangement with creditors, all outstanding invoices shall become immediately due and payable, regardless of the original payment terms.
6. Bank & Financial Requirements
6.1. Our banking and financial partners require strict adherence to agreed payment terms.
6.2. Failure to comply may result in adjustments to your credit terms, reduction of credit limits, or conversion of your account to a prepayment basis.
6.3. This policy ensures we can continue to offer competitive terms and maintain a reliable supply chain for all customers.
7. Account Reviews and Suspension
7.1. The Company reserves the right to review all credit accounts periodically.
7.2. Accounts with repeated late payments or non-compliance with these terms may be suspended or terminated without notice.
8. Disputes
8.1. Any disputes relating to invoices must be notified to the Company in writing within 7 days of the invoice date.
8.2. Disputed amounts do not entitle the customer to withhold payment of undisputed amounts.
9. Governing Law
9.1. These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales.
9.2. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

By placing orders on a credit account with A&A Distribution Ltd, you acknowledge and agree to abide by the above Terms & Conditions.
